The Board of Directors
29Metals has a majority-independent Board of Directors.
The Board has ul琀椀mate responsibility for:

the Group’s strategy, including in rela琀椀on to Sustainability & ESG; and
the Group’s governance framework.
Through the Group’s governance framework, the Board oversees the implementa琀椀on and execu琀椀on
of the Group’s strategy (including in rela琀椀on to Sustainability & ESG) by Management.

Board Committees
The Board has established three standing Board Commi琀琀ees (‘Commi琀琀ees’), each of which plays an
important role in Sustainability & ESG:

the Audit, Governance & Risk Commi琀琀ee – provides advice and recommenda琀椀ons to the
Board regarding governance ma琀琀ers, and oversees the Group’s risk management framework,
Whistleblower Policy, and An琀椀-bribery & Corrup琀椀on Policy;
the Remunera琀椀on & Nomina琀椀ons Commi琀琀ee – provides advice and recommenda琀椀ons to the
Board regarding people and remunera琀椀on ma琀琀ers, including links between Sustainability & ESG
performance and execu琀椀ve remunera琀椀on, inclusion and diversity objec琀椀ves and strategies, the
composi琀椀on of the Board, and oversees the Group’s Inclusion & Diversity Policy, Code of Conduct,
and Workplace Behaviour Policy; and
the Sustainability Commi琀琀ee – provides advice and recommenda琀椀ons to the Board regarding
Sustainability & ESG ma琀琀ers (including modern slavery risks), and oversees Management’s
development and implementa琀椀on of systems and processes to manage Sustainability & ESG risks.
Each of the Commi琀琀ees is chaired by an independent Non-execu琀椀ve Director, and a majority of
Commi琀琀ee members of each Commi琀琀ee are independent Non-execu琀椀ve Directors.

Executive
Leadership Team –
Head Office/Corporate
The CEO has the delegated authority of the Board for the day-to-day management of the Group, other
than those ma琀琀ers expressly reserved to the full Board.
The Execu琀椀ve Leadership Team, led by the CEO, has responsibility for the implementa琀椀on and
execu琀椀on of the Group’s strategy, including in rela琀椀on to Sustainability & ESG, across the Group.
The role of the Execu琀椀ve Leadership Team includes the development and implementa琀椀on of
management systems and processes to manage Sustainability & ESG risks and achieve the Group’s
Sustainability & ESG objec琀椀ves.

Site Senior Leaders –
Operating Site/Project
The Site Senior Leaders are responsible for implemen琀椀ng the Group’s management systems and
processes to manage Sustainability & ESG risks and achieve the Group’s Sustainability & ESG
objec琀椀ves at the sites.
